General Terms and Conditions of Sale and Export
1. Scope and Professional Nature
These terms and conditions govern all commercial transactions between the company and its professional clients (distributors, retailers, or prescribers). Sales are not made to end consumers or private individuals. The client declares that they are acting in the course of their professional or business activity.
2. Orders and Invoicing
• Formalization: As there are no direct sales via shopping cart, the sales contract is finalized upon the client’s acceptance of the Proforma Invoice or written confirmation of the order by our sales department.
• Prices and Rates: Prices are based on the current professional rate schedule. Any price updates, such as notifications of increases due to operating costs (e.g., the 4% annual increase effective July 2026), will be communicated to clients with open accounts before their implementation.
3. Export and Delivery Terms (Incoterms)
• Incoterms: Unless otherwise agreed, international sales are conducted under Ex Works (EXW) or Delivered at Place (DAP) terms.
• Transfer of Risk: According to our policy, if the client arranges their own transport, our responsibility ends upon delivery of the goods to the carrier at our facilities. For shipments managed by us, the client must note any issues on the carrier’s delivery note.
• Customs and Tariffs: For exports outside the European Union, the client is the registered importer and responsible for all customs procedures, tariffs, and local taxes at the destination.
4. Technical Specifications and Custom Murals
• Professional Responsibility: For orders of digital or custom murals, the professional client is solely responsible for validating the measurements, scale, and technical preview before production.
• Construction Calculations: Calculating the number of rolls required is the sole responsibility of the customer or their qualified installer. The company assumes no responsibility for measurement errors based on plans.
5. B2B Returns and Claims Policy: The provisions of the “Returns and Claims Policy” document are strictly applied. Acceptance of any quote or order, as well as full or partial payment of the proforma invoice issued by the company, implies reading, understanding, and unconditional acceptance of our General Terms and Conditions of Sale and the “Returns and Claims Policy” in force on our websites ichwallpaper.com and herawalls.com, which applies strictly to all B2B business relationships and export operations.
6. Warranty and Limited Liability
• Hidden Defects: The warranty exclusively covers manufacturing defects or hidden defects confirmed by our technical department.
• Exclusions: Labor costs, dismantling, unauthorized return transport, or damage caused by the use of unsuitable adhesives on site are excluded.
7. Applicable Law and International Jurisdiction
All export operations are governed by Spanish law. In the event of a dispute, the parties submit to the jurisdiction of the competent courts and tribunals of our registered office in Spain, expressly waiving any other national or international jurisdiction.
